General Terms and Conditions of ICS – Individual Coaching Solutions
1. Scope of Application
1.1. These General Terms and Conditions (GTC) govern the contractual relationship between ICS – Individual Coaching Solutions, Matthias Ullrich, Sukhumvit 24, 10110 Bangkok, Thailand, and its customers for contracts in the area of tutoring and coaching.
1.2. These GTC apply to contracts concluded via the website https://www.icsolutions.pro.
1.3. The term “Customer” refers to the person who concludes a contract with ICS – Individual Coaching Solutions. The term “Registered Person” refers to the person who receives tutoring or coaching services.
2. Subject Matter of the Contract
2.1. ICS – Individual Coaching Solutions offers online tutoring and coaching services.
2.2. There is no entitlement to a specific teacher or specific time slots.
2.3. Teaching content may only be used for private purposes. Commercial use is prohibited.
2.4. Only the registered person is entitled to use the services. Transfer to third parties is not permitted.
2.5. ICS – Individual Coaching Solutions may use third parties and freelance staff to fulfill the contract.
3. Formation of Contract (for Online Tutoring only)
3.1. The offers on the website do not constitute binding offers.
3.2. The customer submits a binding offer by completing the booking form and clicking the “Book” button.
3.3. The contract is concluded when ICS – Individual Coaching Solutions confirms the booking in writing or starts providing the service.
4. Lesson Options and Duration of Sessions
4.1. Individual Tutoring: 90 minutes per session.
4.2. Group Tutoring: Up to 10 participants, 90 minutes per session.
4.3. MOOCs: 10 or more participants, 90 minutes per session.
4.4. Mental Coaching: 60 minutes per session, bookable in a package of 5 sessions.
5. Requirements for Online Lessons
5.1. The customer is responsible for ensuring the technical requirements for online lessons.
5.2. Third-party software may be required for online services.
5.3. A completely secure data transmission over the internet cannot be guaranteed.
6. Missed Lessons
6.1. Individual tutoring sessions can be canceled up to 24 hours in advance.
6.2. For cancellations made less than 24 hours before the session, there is no entitlement to a replacement session.
6.3. Missed group lessons cannot be rescheduled.
7. School Holidays
Lessons continue during school holidays, except on public holidays. During summer holidays, intensive modules are offered.
8. Prices and Payment Terms
8.1. The prices agreed in the contract apply. All prices are final prices without separate VAT display.
8.2. Payments are due in advance on a monthly basis. Payments are made via PayPal or credit card.
8.3. The customer bears the costs of any return debit notes.
8.4. If the customer defaults on payments for more than two months, ICS – Individual Coaching Solutions may terminate the contract.
9. Termination
9.1. The contract can be terminated with a notice period of 4 weeks before the end of the agreed contract period.
9.2. Special termination rights exist in the event of relocation, school transfer, or severe illness.
10. Data Protection
ICS – Individual Coaching Solutions processes personal data in accordance with the GDPR and other applicable data protection laws. Further details can be found in the Privacy Policy.
11. Right of Withdrawal (for Online Contracts)
11.1. Customers have the right to withdraw from the contract within 14 days of conclusion without stating a reason.
11.2. Withdrawal can be declared by email to info@icsolutions.pro.
11.3. If the service begins during the withdrawal period, a proportionate fee will be charged for the services already provided.
12. Applicable Law and Jurisdiction
12.1. German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
12.2. The place of jurisdiction for disputes arising from this contract is the registered office of ICS – Individual Coaching Solutions in Thailand, unless the customer is a consumer.
13. Final Provisions
13.1. Amendments and supplements to these GTC must be made in writing.
13.2. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.
